The article reports on the Companies Act rules implemented in India which allowed companies to solicit an unlimited amount of Qualified Institutional Buyers (QIB) or investors and also introduced heightened disclosure requirements. An overview of the rules for private placements that have been adopted in response to corporate fraud is presented. Also discussed are the disclosure requirements that apply to every kind of private placement transaction.
