    In the recent decade the management board, the supervisory board and the auditor have been in the focus of the corporate governance discussion. Currently the shareholders and among them the institutional investors are spotlighted. The same applies with regard to proxy advisors which meanwhile in Germany and Europe are considered to be powerful capital market actors. Accordingly, the European Commission pays great attention to shareholders and proxy advisors in its Green Paper dated 5 April 2011. In the eyes of the Commission institutional investors should discharge their stewardship responsibilities and monitor their investee companies, while proxy advisors should be forced to use their influence in a more transparent and responsible manner. Against this background, this essay militates against further regulation.

    Im vergangenen Jahrzehnt habenVorstand, Aufsichtsrat und Abschlussprüfer die Corporate-Governance-Debatte beherrscht. Nunmehr geraten die Aktionäre und unter ihnen vor allem die institutionellen Investoren in den Fokus. Gleiches gilt für die Stimmrechtsberater, die inzwischen auch in Deutschland und Europa als machtvolle Kapitalmarktakteure wahrgenommen werden. Dem entspricht, dass die EU-Kommission in ihrem Grünbuch vom 5. April 2011 den Aktionären und den Stimmrechtsberatern große Aufmerksamkeit schenkt. Konkret erwägt sie, institutionelle Investoren zu einer aktiven Einmischung in die Verwaltung ihrer Beteiligungsunternehmen anzuhalten. Den Einfluss von Stimmrechtsberatern möchte sie indessen zurückdrängen bzw. in geordnete Bahnen lenken. Dieser Beitrag tritt beiden Vorhaben entgegen.
