Los intermediarios principales en la «banca paralela»: el control de su actividad respecto a los Hedge Funds

    En este trabajo, tras exponer el concepto de hedge fund, se estudia la última transposición al Derecho español de la Directiva 2011/61/UE (AIFMD) por la Ley 22/2014, de 12 de noviembre y por la reforma del RIIC. Hoy los fondos de inversión alternativa y sus sociedades gestoras se encuentran regulados en 2 normas: la LIIC y la LECR. La vía principal para el control del riesgo sistémico que puede conllevar la actividad de la banca paralela o shadow banking pasa por el control de los intermediarios financieros tradicionales que les financian y les sirven de contrapartida (prime brokers). Se analizan los cambios normativos en el régimen de las entidades de crédito y sociedades de valores que actúan como intermediarios principales de los hedge funds, cambios que traen causa del nuevo régimen impuesto por Basilea III para tratar de evitar nuevas crisis financieras.

    In this paper, after describing the concept of hedge funds, we analize the last transposition of the Directive 2011/61/EU (AIFMD) to the Spanish Law, mainly by the Act 22/2014, of 12 November and by the amendments of the UCITS Regulation. Nowadays we find the legal regime of the alternative investment funds and their management companies in two Acts: the UCITS Act and the Private Equity, other collective investment undertakings of closed-ended type and their management companies Act. The key mechanisim for controlling the systemic risk in the shadow banking is the supervisión of the prime brokers when they act as counterparties. Changes on the rules governing the prime brokerage activity, due to Basel III reforms, are also explained.
