DuPont nominates two new directors, rebuffs Trian nominees

  • Headed up by CEO, Nelson Peltz, who is one of the four nominees, Trian emphasised that DuPont's earnings per share had been down since 2011, that organic revenue growth had been underperforming in over half of the company's segments and that management had missed its own guidance for the third year in a row. The company said that new appointments would help to take DuPont in a new direction.

    In a regulatory filing in early February, DuPont noted the media coverage of its engagement with Trian and the fund management company's nominations, adding that it had reviewed Trian's proposed nominees and sought to reach a constructive resolution.

    "Trian has refused to consider any proposal that did not include Peltz himself joining the DuPont Board," DuPont said.
