Resumen de Alternativas a la financiación bancaria en el nuevo régimen de fomento de la financiación empresarial: el acceso a los SMN y el tránsito a los mercados secundarios de valores. Las plataformas de financiación participativa

  La Ley de fomento de la financiación empresarial (Ley 5/2015, de 27 de abril) se inscribe en una dinámica general a nivel europeo que busca favorecer la financiación empresarial, principalmente de las PYMES, a través del desarrollo de nuevas vías de acceso al ahorro mediante instrumentos no bancarios.

  En este artículo se analizan algunas de las reformas que introduce dicha Ley en la estructura financiera española, en particular las relativas al mercado alternativo bursátil (MAB) y otros sistemas multilaterales de negociación, y al establecimiento de un completo régimen jurídico-económico de las plataformas de financiación participativa (crowfunding). Igualmente, se analizan las nuevas competencias de la CNMV.

  El artículo se inicia con una revisión actualizada de la preponderancia de la financiación bancaria de las empresas en España, que sirve como marco en el que las reformas establecidas por la nueva ley encuentran su sentido pleno

  The new Spanish law on the promotion of firm´s financing (Law 5/2015, of 27 April) frames for the Spanish case the existing pan-European dynamics to improve the financing of companies, mainly SMEs, by setting up new mechanisms of accessing the pool of savings that bypass the banking system.

  In the article, we analyze some of the reforms introduced in the Spanish financial structure by the aforementioned law, particularly those concerned with the Mercado Alternativo Bursátil (Alternative Exchange Market) and the regulation of the participative financing platforms or crowdfunding. Finally, we analyze the new powers of the Spanish Securities Commission (CNMV).

  As way of introduction, we revise the literature on the preeminence of bank financing of Spanish firms, and present data on the continuous relevance of that trait. This way, the new reforms find their true sense and momentum
