Resumen de La constitución de sociedades mercantiles en la blockchain. Un acercamiento al futuro

  La irrupción de la tecnología blockchain va a afectar al modo en el que actualmente se desarrollan las relaciones en el tráfico jurídico, incluido también el derecho societario tal y como hoy lo conocemos. Sin embargo, y a pesar de que los cambios empiezan a sucederse, la actividad legislativa en esta materia en el ámbito mercantil a día de hoy es prácticamente inexistente, lo que contribuye a crear un clima de incertidumbre. Atendidas las ventajas inherentes de la cadena de bloques, creemos interesante y posible a medio plazo aplicar esta tecnología a la constitución de sociedades de capital cuando ello genere ventajas a los socios constituyentes. No obstante lo anterior, defendemos la coexistencia de distintas opciones, de manera que convivan pacíficamente las sociedades constituidas al modo tradicional y las constituidas en el ecosistema blockchain.

  The outbreak of the blockchain technology is going to impact the way legal relations develop these days, corporate law included. However, and in spite of the fact that changes has already started to occur, the legislative activity in this matter within the corporate area is next to inexistent, which contributes to create a climate of uncertainty. Taking into account the inherent advantages of blockchain, we consider interesting and possible in the medium term, to apply this technology to the company incorporation processes provided that it creates advantages for the founders. Nevertheless, and as the blockchain technology is in an early development stage, we understand that the peaceful coexistence of both options, incorporation of companies under the traditional procedure and incorporation of companies under the blockchain ecosystem should be possible.
