Las fusiones transfronterizas presentan ciertas particularidades que pueden generar dudas tanto técnicas –relacionadas con la aplicación del Régimen de Neutralidad Fiscal o su efecto en grupos fiscales– como prácticas, sobre el cumplimiento de determinadas obligaciones tributarias formales derivadas de su formalización. En este contexto, resulta de especial interés advertir que hay determinadas situaciones en las que la finalidad perseguida por el Régimen de Neutralidad Fiscal (e. g., evitar que la imposición de este tipo de operaciones obstaculice su realización, permitiendo al Estado de la fuente mantener su capacidad para gravar la renta) podría alcanzarse en el marco de fusiones transfronterizas, sin necesidad de afectar los elementos de la sociedad absorbida a un establecimiento permanente en España de la sociedad extranjera absorbente, como exige el tenor literal de la legislación española.
Cross-border mergers are particular in that they can give rise to both technical doubts, related to the application of the Tax Neutrality Regime or its effect on tax groups; and practical doubts, on the fulfilment of some formal tax obligations arising from their formalisation. In this context, it is worth noting that the Tax Neutrality Regime’s purpose (i.e. to prevent taxation hindering the completion of this type of transactions, allowing the source State to retain its authority to tax income) can sometimes be achieved in the framework of cross-border mergers, without elements of the absorbed company having to be allocated to a permanent establishment in Spain, as expressly required by Spanish law.
