La Directiva (UE) 2019/1151 presenta una serie de interrogantes y retos para conseguir una verdadera constitución online de sociedades y un Registro Mercantil completamente electrónico. En este artículo se hace un análisis de su transposición abordando los problemas que plantea la seguridad jurídica preventiva, la necesidad de escritura en la constitución de las futuras sociedades estandarizadas online y el papel de los notarios y registradores en este proceso.

Directive (UE) 2019/1151 present a series of problems and challenges in order to achieve a real formation of companies fully online and a entirely electronic Company Register. This study analyse the transposition adressing the problems that pose the preventive legal certainly, the need of a public deed in the formation of the future estándar online companies and the role of notaries and registers in this process.
