Resumen de O contrato de vesting e sua aplicação em inovação no direito brasileiro

O presente artigo tem por finalidade conhecer o ambiente de inovação, seu comportamento e seus objetivos. A partir disso, reconhecê-lo como propício a construções de relações jurídica aptas a serem utilizadas pelas mais amplas formas contratuais entre eles o contrato de Vesting. Assim, sob a perspectiva da Inovação, conhecer a origem do instituto, definir e traçar um panorama geral desta modalidade contratual no Brasil, buscando demonstrar sua utilização para esse fim dentro desse ambiente. Além disso, objetivamos neste trabalho apresentar ao leitor a multiplicidade de cláusulas que podem ser inseridas nesse contrato permitindo com isso sua customização visando atender a variedade de situações concretas que se apresentem. A metodologia utilizada foi empregada mediante a pesquisa documental, por meio da análise de documentos legais e artigos científicos, influenciada pela experiência empírica da autora, demonstrando como o contrato de Vesting desempenha esse papel de meio auxiliar aos instrumentos de captação de recursos humanos e financeiros

The objective of this article is the comprehension of the innovation environment, its behavior and its objectives. Therefore, to recognize it as way to the construction of legal relationships capable of being used by the contractual models, including the Vesting Contract.
Thus, from the perspective of Innovation, to know the origin of the institute, define and highlight an overview of this agreement in Brazil, seeking to demonstrate its use for this purpose within this environment. In addition, we aim in this paper to present the reader with the multiplicity of clauses that can be inserted in this agreement, allowing its customization in order to fulfill the variety of concrete situations which should be presented. The methodology used was documentary research, through the analysis of legal documents and scientific articles, influenced by the author's empirical experience, demonstrating how the Vesting contract plays this role of assisting the instruments for attracting human and financial resources.
