    In 2011, the Copé-Zimmermann law imposed a minimum quota of 40% of the same sex in Cas. It illustrates the role of public authorities and of legal coercion in promoting a balanced representation of women and men in corporate governance. Analysis of the law suggests that its genesis was influenced by societal constraint and its implementation by the state of the labor market. The law had unexpected spillover effects by being accompanied by an evolution of the sociological characteristics of the members of the CAs which resulted in the convergence of the profiles of the directors and a decrease in the number of alumni from “Très Grandes Ecoles” and foreign directors.

    La loi Copé-Zimmermann de 2011 impose un quota minimum de 40 % d’un même sexe dans les conseils d’administration (CA). Elle illustre le rôle des pouvoirs publics et de la contrainte légale pour promouvoir la mixité femmes-hommes au sein des instances de gouvernance. L’analyse de la loi suggère que sa genèse a été influencée par la contrainte sociétale et sa mise œuvre par l’état du marché du travail. La loi a eu des effets de débordement imprévus en s’accompagnant d’une évolution des caractéristiques sociologiques des membres des CA. Cela s’est notamment traduit par la convergence des profils des administrateur(rice)s et une baisse du nombre d’administrateurs diplômés des très grandes écoles et des étrangers.
