El derecho de información del accionista es un derecho básico y fundamental inherente a la condición de socio. Sin embargo, este trascendental atributo del socio no ha sido adecuadamente regulado en los párrafos 1 y 2 del artículo 197 de la Ley de Sociedades de Capital. El ejercicio de tal derecho, tanto antes de la celebración de la junta general de accionistas, como durante la celebración de la misma, evidencia una situación de indefensión del socio, así como una insuficiente protección de sus intereses. En el presente artículo se realiza una reflexión acerca de tales cuestiones y se sugieren y apuntan posibles remedios ante una futura y necesaria reforma de esta materia.
The shareholder's right to information is a basic and fundamental right inherent to being a partner. However, this very important characteristic is not adequately dealt with in paragraphs 1 and 2 of article 197 of the current spanish Capital Companies Law . The way in which this right is exercised before the holding of the company's meeting and also during the same, shows the situation of helplessness and lack of protection of the shareholder. In this paper a reflection on all these problems is made and some possible solutions are suggested for a future and necessary reform of this matter.
