El presente trabajo se centra en el fundamento del derecho de separación por no distribución de dividendos. El posible abuso de derecho de la mayoría por no distribución de dividendos fundamenta la protección del socio minoritario concediéndole un derecho a separarse de la sociedad. Pero también es posible que el abuso sea imputable al socio minoritario en cuyo caso no debe admitirse el derecho de separación.

The present article focuses on the foundations of the exit right due to failure to distribute dividends. The possible abuse of right of the majority by not distributing dividends is a ground for the protection of the minority shareholder granting him a right to exit the company. But it is also possible that the abuse is attributable to the minority shareholder in which case the exit right should not be admitted.
