  Non-fungible tokens (NFTs) are blockchain-based instruments that incorporate a unique reference tounderlying assets. In the last five years, we have witnessed an extraordinary expansion of NFTs in a growing variety of fields and industries: videogames, sports, events, fashion, real estate market. In the art field, they have become a tremendous instrument to enhance the safe circulation of both digital and “real-world” artworks. In this article, we explore the nature and functions of NFTs from a private law standpoint. After summarizing the structural and functional characteristics of NFTs, we analyse some critical legal issues in anNFT’s life: issuance, “possession”, transfer; so as to draw some regulatory implications from both an Italianlaw and a private international law perspective. We then turn to certain uses of NFTs in the context of financial transactions. Finally, we explore some interactions between NFTs and metaverse.

  I non-fungible tokens (NFTs) sono strumenti configurati per operare su tecnologia blockchain, i quali recano con sé un riferimento univoco a beni o utilità sottostanti. Essi hanno conosciuto, nell’ultimoquinquennio, una straordinaria diffusione in ambiti e settori sempre più vari: videogames, sport, eventi, abbigliamento e moda, mercato immobiliare. Nel campo dell’arte, poi, essi sono divenuti strumenti formidabili per la sicurezza nella circolazione delle opere, sia digitali sia fisiche. Il presente lavoroapprofondisce sotto il profilo civilistico la natura e le funzioni degli NFTs. In particolare, dopo aver ricostruito le caratteristiche strutturali e funzionali di tali strumenti, si inquadrano i risvolti più problematici delle vicende di un NFT: emissione, “possesso”, trasferimento; ciò al fine di trarne indicazioni intermini di disciplina, anche in ambito internazional-privatistico. Ci si sofferma, quindi, sull’impiego degli NFTs nell’ambito di operazioni di natura finanziaria. Infine, vengono esplorate alcune interazioni tra NFTs e metaverso.
