Resumen de Novedades en la constitución de la Sociedad de Responsabilidad Limitada tras la Ley 18/2022, de 28 de septiembre, de creación y crecimiento de empresas

Ley 18/2022, de 28 de septiembre, de creación y crecimiento de empresas, conocida como «Ley Crea y Crece», ha introducido importantes novedades en la constitución de las sociedades de responsabilidad limitada con las que pretende facilitar la creación de nuevas empresas. La principal novedad ha consistido en extender para toda sociedad de responsabilidad limitada la exigencia de un capital social mínimo de un euro, lo que trae consigo la derogación del régimen legal de las sociedades limitadas de formación sucesiva. La segunda novedad más importante viene representada por el impulso de la constitución telemática de la sociedad, potenciando el funcionamiento de la Agencia Electrónica Notarial e imponiendo la obligatoriedad de la escritura pública de constitución con formato estandarizado, si bien los fundadores podrán seguir optando por el empleo o no de estatutos sociales tipo.

Law 18/2022, of September 28, on the creation and growth of companies, known as the «Create and Grow Law», has introduced important new features in the constitution of limited liability companies with which it intends to facilitate the creation of new companies. The main novelty has consisted in extending to all limited liability companies the requirement of a minimum share capital of one euro, which entails the repeal of the legal regime of successively formed limited companies. The second most important novelty is represented by the promotion of the telematic constitution of the company, promoting the operation of the Notarial Electronic Agency and imposing the mandatory nature of the public deed of incorporation with a standardized format, although the founders may continue to opt for employment or not of standar bylaws.
