The Article tackles the issue, as to whether an investment fund managed by a certain asset manager company may be “sold” to another asset manager company, or rather whether the “circulation” of investment funds shall be just intended as the appointment by the underwriters’ general meeting of a different asset manager company, replacing the existent. The issue is all but academic, as there is evidence that both solutions are followed in the business practice. The Article aims at demonstrating that only one solution is viable, as investment funds are not the “real” property of the asset manager company, regardless of whether the asset of which the fund is composed are the “formal” property of the asset management company.

L’articolo affronta la questione se un fondo di investimento gestito da una certa società di gestione del risparmio possa essere “venduto” ad un’altra società di gestione del risparmio, ovvero se la “circolazione” dei fondi di investimento debba essere intesa solo come nomina da parte dell’assemblea dei sottoscrittori di un’altra società di gestione in sostituzione di quella esistente. La questione è tutt’altro che accademica, poiché la pratica degli affari dimostra che entrambe le soluzioni vengono seguite. L’articolo mira a dimostrare che una sola soluzione è percorribile, in quanto i fondi di investimento non sono proprietà “effettiva” della società di gestione del risparmio, indipendentemente dal fatto che il patrimonio di cui è composto il fondo sia “formalmente” proprietà della società di gestione del risparmio.
