El objetivo de investigación fue demostrar las transformaciones sufridas por las sociedades anónimas en Panamá, a propósito de la incorporación de nuestro país al Grupo de Acción Financiera de Latinoamérica, (GAFILAT). Para esto, se seleccionaron las teorías que discuten los hechos a través de libros, sitios web oficiales, leyes y jurisprudencias de la Corte Suprema de Justicia de Panamá. Bajo el amparo del trabajo de gabinete, por observación (registro visual), se compilan los textos y se procede a discriminar las fuentes primarias útiles desde 1927 (Ley sobre sociedades anónimas), hasta el 2019 (Ley de reforma del Código Penal); a seguir, se compulsan los contenidos para deslindar la situación real, y por medio, del análisis documental sistemático, se sintetizan los aportes teóricos para alcanzar los resultados. Los mismos, debidamente referenciados, demuestran la existencia de nuevas y variadas responsabilidades adicionales impuestas a las sociedades anónimas, donde se destaca la implementación de nuevos mecanismos de manejo y control de la información de estos instrumentos financieros, como la política conozca a su cliente, que afectan considerablemente su constitución y funcionamiento.

The investigation goal was to explain changes made to corporations in Panama, because of the incorporation of our country to the Latin American Financial Action Group (LAFAG). To these ends, the theories which discuss the events were selected from books, official websites, laws and jurisprudence from the Supreme Court of Justice of Panama. By survey of the works of the cabinet, by observation (visual registry), texts are compiled and immediately designated as the relevant primary sources from 1927 (Law of corporations), to 2019 (Reform law of the Penal Code); then, the contents are scrutinized to deduce the current state, and by way of, systematic document analysis, the theoretical contributions are synthesized to reach findings. These, duly referenced, demonstrate the existence of new and varied additional responsibilities imposed upon corporations, where the implementation of new mechanisms of management and control of information regarding these financial instruments is notable, such as the policy know your client, that greatly affects its constitution and functioning.
