El Tribunal Supremo, aplicando el régimen anterior a la reforma introducida por la Ley 31/2014, resuelve que de un acuerdo social que incurre en abuso de derecho y es lesivo, no a la sociedad ni a los socios minoritarios, sino a un tercero con interés legítimo, ha de reputarse nulo. Y considera que dicho tercero está legitimado activamente para impugnar el acuerdo social pretendidamente nulo.

The Spanish Suprem Court, applying the regime previous of the reform introduced by 31/2014 Act, resolved that a corporate agreement that committes abuse of rights and it is detrimental, no for the corporation neither the minority patners, but for a third party that accredits a legitimate interest, must be considerated null. This third party has legal capacity to challenge the corporate agreement that is pretended to be null.
